Payment Processing Terms

These terms describe the verified Stripe Connect implementation.

1. When these terms apply

These Payment Processing Terms supplement the BayNerve Terms of Service when a shop connects a Stripe account or uses BayNerve features to offer products or services and accept payments from its customers.

The shop's agreement with Stripe, including Stripe Connected Account terms and any applicable payment-method terms, also applies. If a shop does not enable these features, these additional terms do not govern its ordinary BayNerve subscription billing.

2. Merchant responsibility

The shop, not Gearbox Technologies LLC, is the seller and merchant for transactions with the shop's customers. The shop is responsible for its automotive services, products, descriptions, prices, availability, customer terms, authorizations, taxes, receipts, delivery, warranties, refunds, returns, disputes, and legally required records.

The shop must provide complete and accurate onboarding information to Stripe, keep its connected account in good standing, and use payment features only for lawful transactions connected to its business.

3. Stripe processing and data

Stripe collects and processes customer payment credentials. BayNerve is designed to create and display transaction information using Stripe references rather than to receive full card numbers.

BayNerve can store connected-account identifiers, product and price identifiers, charge or payment references, amounts, statuses, timestamps, and related shop records. Stripe controls authorization, settlement, payout timing, payment-method support, identity verification, reserves, reversals, and other processor functions under its terms.

4. Fees, payouts, refunds, and disputes

Stripe fees, the BayNerve platform fee displayed to the shop during Payment Setup, refunds, disputes, chargebacks, reserves, reversals, and negative balances can affect the amount a shop receives. The standard BayNerve platform fee is currently 3.00% of each customer card payment unless Payment Setup displays a different rate for the shop. The applicable BayNerve platform fee is the rate shown to and affirmatively accepted by an authorized shop user before payment features are enabled. The accepted rate is separate from the shop's BayNerve subscription and from Stripe's own processing fees.

If BayNerve changes the applicable platform-fee rate for a shop, the changed rate will not apply to new customer card payments until an authorized shop user is shown and affirmatively accepts the changed rate. The shop authorizes the processing needed to collect the accepted fee and resolve transaction adjustments.

The shop is responsible for maintaining sufficient funds and responding to disputes through Stripe. Gearbox Technologies LLC does not guarantee that a payment will be authorized, that funds will be available, or that a payout will occur by a particular time.

The shop must issue refunds and communicate its refund policy to customers as required by its own terms and applicable law. BayNerve subscription cancellation and customer transaction refunds are separate processes.

5. Prohibited transactions and review

The shop may not use payment features for unlawful, fraudulent, misleading, or prohibited activity, or for a product or service barred by Stripe. Gearbox Technologies LLC or Stripe can restrict payment features when reasonably needed for compliance, security, risk, or suspected violation.

Payment records in BayNerve are operational records and can be delayed or differ from Stripe. The shop must reconcile material amounts, disputes, refunds, and payouts against its Stripe account and financial records.

6. Liability and contact

The disclaimers, liability limits, indemnification provisions, governing law, and dispute terms in the Terms of Service apply to these Payment Processing Terms. Gearbox Technologies LLC is not responsible for Stripe's independently controlled services or a shop's underlying transaction with its customer.
