Terms of Service

1. Agreement and business use
These Terms of Service are an agreement between Gearbox Technologies LLC, which operates BayNerve, and the business customer that creates or uses a BayNerve workspace. If you use BayNerve for a business, you represent that you have authority to act for that business. Each individual user also agrees to the provisions that apply to authorized users.
BayNerve is offered for automotive service businesses and their authorized personnel, not for personal or household use. You must be at least 18 years old to create or use an account.
BayNerve is not an automotive repair facility and does not enter into a consumer repair contract with a vehicle owner. The shop is responsible for its employees, contractors, administrators, and invited users.
The Acceptable Use Policy and Data Processing Addendum are incorporated into these Terms. The Payment Processing Terms also apply when a shop uses BayNerve features that connect the shop to Stripe to accept customer payments.
2. Definitions
BayNerve or Services means the hosted automotive shop software, websites, support, and related features provided by Gearbox Technologies LLC. Documentation means BayNerve instructions and product materials. Customer or Shop means the business that creates or controls a workspace. Authorized User means an individual the Customer permits to use that workspace. End Customer means a vehicle owner, purchaser, or other person who deals with the Customer.
Customer Data means information, content, and materials submitted to or generated within a Customer workspace. Third-Party Service means a provider, integration, website, data source, or platform not controlled by Gearbox Technologies LLC. AI Features means BayNerve features that use machine learning, transcription, embeddings, or generative models. Input means information submitted to an AI Feature, and Output means material returned or generated by that feature.
3. The service
BayNerve provides hosted tools for shop operations, including customer and vehicle records, work orders, inspections, estimates, invoices, payments, scheduling, documents, media, team activity, reporting, and optional integrations. Available features can depend on configuration, role, subscription, and third-party availability.
Subject to these Terms and payment of applicable fees, Gearbox Technologies LLC grants the Customer a limited, nonexclusive, nontransferable, nonsublicensable right for its Authorized Users to access and use BayNerve for the Customer's internal business operations during the subscription term.
4. Accounts, roles, and workspace control
Customers must provide accurate account information, protect credentials, use available security controls appropriately, and promptly report suspected unauthorized access. Accounts may not be shared among individuals.
The shop owner and users with delegated authority can invite users, assign roles or capabilities, manage access, and deactivate accounts using the controls available in BayNerve. Customers are responsible for deciding who receives access and what each user may do.
Gearbox Technologies LLC may treat instructions and actions submitted through an authorized account as the Customer's instructions unless it has reason to know the account is compromised or the user lacks authority.
Operational records belong to the customer workspace rather than to an individual user account. Deactivating a user does not remove historical work orders, assignments, notes, audit events, media, or other shop records associated with that user.
5. Customer data and permissions
As between the parties, the customer retains its rights in data, content, and materials submitted to its workspace. The customer grants Gearbox Technologies LLC a limited right to host, copy, transmit, display, analyze, and otherwise process that data only as needed to provide, protect, maintain, support, and improve the service, comply with law, and enforce these Terms.
The customer represents that it has the rights, permissions, notices, and consents needed for the information and content it places in BayNerve, including customer contact information, vehicle information, recordings, photos, documents, messages, and employee information.
Customers can export supported record categories as CSV files. Media exports currently contain metadata rather than the underlying files. Deactivation and subscription cancellation do not automatically delete a workspace or its records.
Gearbox Technologies LLC may create aggregated or deidentified information from Customer Data and use that resulting information, including through service providers acting on its behalf, to operate, secure, analyze, and improve BayNerve only when it is not reasonably linkable to a customer or individual. This permission does not authorize public disclosure of identifiable Customer Data or unrestricted use of raw uploads.
Gearbox Technologies LLC will not attempt to reidentify information it treats as deidentified and will require a service provider that receives that information to maintain the same limitation for the provider's work on BayNerve's behalf.
A shop owner may separately authorize BayNerve to identify the shop as a customer using its shop name and logo on BayNerve's website and social media accounts. That optional permission is not required to use the service and can be withdrawn through Account settings. It does not authorize testimonials, a person's name or likeness, repair records, customer information, or other uploaded content. Those uses require separate specific permission.
6. Automotive decisions and records
BayNerve is a recordkeeping and workflow tool. It does not inspect, diagnose, repair, service, tow, store, warrant, or certify vehicles. It is not a repair manual, diagnostic authority, safety certification, legal compliance service, accounting service, or substitute for trained professional judgment.
The Customer and its personnel are solely responsible for repair judgment, safety, inspections, diagnoses, technician qualifications, manufacturer instructions, parts selection, estimates, customer authorization, disclosures, invoices, taxes, warranties, record retention, roadworthiness decisions, quality control, and compliance with requirements that apply to the shop and each transaction.
BayNerve is not a party to an estimate, repair order, authorization, invoice, warranty, payment, or dispute between a Shop and an End Customer. Reference data, recall information, VIN data, calculations, templates, reminders, parts information, labor entries, warnings, and reports can be incomplete, delayed, or incorrect and do not guarantee compliance with a jurisdiction's requirements.
Users must confirm material information against appropriate source records before relying on it. A statement by support personnel does not create a professional, diagnostic, safety, legal, accounting, or compliance warranty.
7. Estimates, approvals, and communications
Customers are responsible for configuring and using estimates, inspection reports, approval records, invoices, and customer communications in a manner suitable for their business and jurisdiction. BayNerve does not determine whether a particular electronic record, checkbox, signature, message, or workflow satisfies a legal requirement.
BayNerve can store communications and consent events and can prepare or record messages. Delivery can depend on a customer-enabled provider or integration. Customers are responsible for recipient permissions, required notices, message content, opt-out handling, and any charges or rules that apply to their communications.
The Customer must distinguish transactional from marketing communications, select recipients appropriately, honor opt-outs and revocations, and provide notices and obtain consents required for calls, messages, audio recording, transcription, photos, video, or other uploaded content. Carrier and Third-Party Service delivery is not guaranteed.
The Service is not designed to receive Social Security numbers, full payment card numbers, account passwords, highly sensitive medical information, biometric identifiers, or other sensitive information unnecessary for an automotive shop workflow. Customers must not submit that information.
8. AI, voice, and automated output
Optional features can transcribe audio, structure notes, summarize records, create embeddings, or suggest content using third-party artificial intelligence services. Inputs and relevant workspace context can be sent to the identified service providers when a user invokes those features.
AI and transcription output is draft material. It can be inaccurate, incomplete, or unsuitable. A qualified user must review and correct output before it is used for a diagnosis, estimate, customer communication, safety decision, accounting record, or completed service record.
Customers must not submit information to an AI feature unless they have authority to process it in that way. BayNerve does not promise that AI output is unique or protected by intellectual property rights.
AI Features are not professional, legal, accounting, diagnostic, engineering, or safety advice. Output can be inaccurate, incomplete, outdated, duplicated, or inappropriate. A qualified person must independently verify every safety-critical repair decision and remains responsible for Input, configuration, permissions, and actions taken using Output or authorized automation.
9. Third-party services
BayNerve can interoperate with services such as payment processing, accounting, email, storage, vehicle data, security, analytics, and AI providers. Third-party services are governed by their own terms and privacy practices. The customer authorizes the transfers needed for features it enables or uses.
Gearbox Technologies LLC does not control third-party services and is not responsible for their separate acts, omissions, outages, data, or changes. A third-party change can limit or end an integration.
BayNerve may describe or promote available partners and integrations in its own website, application, or social media. Doing so does not state that a customer endorses the partner or that the partner endorses a customer. Any endorsement or testimonial must be truthful, authorized, and accompanied by disclosures required for the particular advertisement.
10. Subscriptions, fees, and cancellation
BayNerve subscriptions are offered on recurring billing intervals displayed during checkout. The customer authorizes the payment processor to charge the selected recurring fees, applicable taxes, and approved adjustments until the subscription is canceled.
Current pricing and the billing interval are shown before purchase and in the billing interface. The shop owner can use the Stripe-hosted billing portal made available in BayNerve to manage or cancel a subscription. The portal displays the effective timing of a cancellation.
Except when required by applicable law or expressly stated in an order or written offer, cancellation does not itself create a refund or credit for amounts already charged. Failure to pay can result in restricted access or suspension. Customers remain responsible for charges incurred before cancellation takes effect.
Trials, promotions, add-ons, usage charges, and special offers apply only when displayed or agreed for the Customer and can carry additional terms. Gearbox Technologies LLC may change fees for a future renewal period after providing reasonable advance notice through available account or contact channels. The shop owner is the only current role authorized to change or cancel the BayNerve subscription.
11. Customer payment features
A shop that enables customer payment features connects its own Stripe account and acts as the merchant for its customer transactions. Stripe collects payment credentials and provides payment processing. BayNerve stores transaction references, amounts, statuses, and related operational records, but the application is not designed to receive full card numbers.
The customer is responsible for its products and services, customer-facing terms, refunds, disputes, taxes, receipts, and compliance obligations as merchant. The separate Payment Processing Terms provide additional rules.
12. Confidentiality and security
Each party will use the other party's nonpublic business information only to perform under these Terms and will protect it using reasonable care. This duty does not cover information that is public through no breach, already known without restriction, independently developed, or lawfully received from another source.
Gearbox Technologies LLC maintains technical and organizational safeguards intended to protect the service. No system is immune from unauthorized access, data loss, or interruption. Customers remain responsible for endpoint security, access decisions, exports, local copies, and their own systems.
13. Service changes, support, and beta features
The service can change as features are added, revised, or retired. Gearbox Technologies LLC may modify a feature when reasonably necessary for security, legal, technical, or product reasons. Material subscription changes will be communicated through reasonable available means.
Support is provided through the support channels made available in the application. No service-level commitment applies unless the parties sign a separate written agreement.
Preview, beta, or experimental features can be changed or withdrawn at any time and may be less reliable than generally available features.
Maintenance, provider failures, security work, and events outside reasonable control can interrupt access. Gearbox Technologies LLC does not promise uninterrupted availability.
14. Suspension, termination, and data access
Gearbox Technologies LLC may restrict or suspend access when reasonably needed to address nonpayment, unlawful or prohibited use, security risk, harm to the service or others, or a material breach of these Terms. When practical, notice and an opportunity to cure will be provided.
A customer may end its subscription using the available billing controls. Account deactivation and subscription cancellation do not automatically erase the workspace. Customers are encouraged to export supported data before access ends.
Requests to delete a workspace are handled through support and may require identity and authority verification. Some records can be retained when reasonably needed for security, dispute resolution, financial recordkeeping, service integrity, or legal obligations. The product does not currently provide a one-click workspace deletion control.
When these Terms end, the Customer's right to use the Service ends except for an agreed transition or recovery path. Accrued payment obligations and provisions concerning ownership, confidentiality, disclaimers, liability, indemnification, disputes, and provisions that by their nature must continue will survive.
15. BayNerve intellectual property
Gearbox Technologies LLC and its licensors retain all rights in BayNerve, including its software, design, documentation, branding, and service-generated materials, except for customer data and third-party materials.
Users may not copy, sell, sublicense, scrape, interfere with, bypass access or billing controls for, introduce malware into, competitively benchmark, or reverse engineer the Service except to the limited extent a restriction is prohibited by law. Automated agents, APIs, and webhooks may be used only through interfaces and permissions BayNerve makes available and may not impose excessive load or extract data without authorization.
Feedback may be used without restriction or payment, provided it does not identify the Customer or disclose Customer confidential information.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAYNERVE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. GEARBOX TECHNOLOGIES LLC DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
GEARBOX TECHNOLOGIES LLC DOES NOT WARRANT THAT THE SERVICE, THIRD-PARTY DATA OR SERVICES, INTEGRATIONS, TRANSCRIPTIONS, AI OUTPUT, CALCULATIONS, OR RECORDS WILL BE ACCURATE, AVAILABLE, UNINTERRUPTED, ERROR-FREE, COMPLETE, NON-INFRINGING, OR SUITABLE FOR A PARTICULAR REPAIR, VEHICLE, SHOP, OR AUTOMOTIVE, TAX, ACCOUNTING, LABOR, MESSAGING, PRIVACY, OR OTHER LEGAL REQUIREMENT.
17. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, BUSINESS INTERRUPTION, OR SUBSTITUTE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEARBOX TECHNOLOGIES LLC'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS OR THE FEES PAID BY THE CUSTOMER FOR BAYNERVE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits do not apply where they are prohibited by law and do not limit a customer's obligation to pay fees or either party's liability for fraud, willful misconduct, or infringement or misuse of the other party's intellectual property rights.
The exclusions and cap apply regardless of legal theory and even if a remedy fails of its essential purpose. The parties agree that this allocation of risk is reflected in the fees.
18. Indemnification
The Customer will defend, indemnify, and hold harmless Gearbox Technologies LLC and its personnel against third-party claims, damages, liabilities, judgments, and reasonable costs arising from Customer Data; repair, inspection, diagnostic, towing, storage, warranty, or other shop services; bodily injury or property damage connected with those services; an End Customer or vehicle-owner dispute; unauthorized or improperly documented work; privacy, recording, messaging, marketing, consent, employment, contractor, tax, invoice, warranty, chargeback, or payment matters; violation of law or third-party rights; or use of BayNerve in breach of these Terms.
Gearbox Technologies LLC will provide prompt notice and reasonable cooperation. The Customer may control the defense, but may not settle a claim in a way that admits fault by or imposes a nonmonetary obligation on Gearbox Technologies LLC without written consent. Gearbox Technologies LLC may participate with its own counsel.
19. Governing law and disputes
These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in the state or federal courts located in Alabama for disputes arising from these Terms or the service.
Before filing a claim, a party will send written notice describing the dispute and requested relief and allow thirty days for good-faith efforts to resolve it. This notice process does not prevent either party from seeking urgent injunctive relief or filing in time to preserve a claim.
These Terms do not contain a mandatory arbitration agreement, class-action waiver, or jury-trial waiver.
20. General terms
Neither party may assign these Terms without the other's consent, except that Gearbox Technologies LLC may assign them in connection with a merger, acquisition, reorganization, or sale of substantially all relevant assets. These Terms do not create a partnership, agency, franchise, or employment relationship.
The parties may communicate electronically and agree that electronic notices and records can satisfy written-communication requirements to the extent permitted by law. Formal notices must be sent to the account contact or the verified contact in these Terms unless a signed order specifies another method.
Neither party is liable for delay caused by events beyond its reasonable control, except that this does not excuse payment obligations. The Customer may not use the Service in violation of applicable export-control or sanctions laws.
If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. There are no third-party beneficiaries unless a provision expressly states otherwise. Headings are for convenience.
These Terms, incorporated policies, applicable orders, and any signed addendum are the entire agreement about the Service. A signed addendum controls over a conflict with these Terms, and these Terms control over an incorporated policy unless that policy expressly states otherwise.
21. Changes and contact
Gearbox Technologies LLC may update these Terms. The posted version and effective date identify the current text. When practicable, material changes will receive advance notice through available account or contact channels. BayNerve will request affirmative acceptance before an existing user resumes operational access after a change affecting arbitration, liability, data-use rights, subscription obligations, or other material rights.
